Communication of Notice, Preparation of Agenda, and Minutes
How Do Notice, Agenda, and Minutes Connect in a Meeting?
Every formal business meeting (whether a Board of Directors meeting, an Annual General Meeting, or a Departmental Review) requires three official written documents — two BEFORE the meeting, and one AFTER the meeting:
1. Communication of Notice
What is a Notice?
A Notice is a formal written announcement or invitation sent in advance to all eligible members informing them about the Day, Date, Time, Venue (Place), and Purpose of an upcoming meeting.
- Without a valid Notice sent within the required time (e.g., 21 days in advance for a Company Annual General Meeting, or 7 days for a Board Meeting), the meeting can be declared legally invalid!
5 Essential Elements of a Valid Notice:
- Name of the Organization and the word
NOTICEin bold capitals at the top. - Date of Issue of the notice.
- Exact Day, Date, and Time of the meeting.
- Exact Venue / Place (or Zoom/Teams link) of the meeting.
- Name, Designation, and Signature of the person issuing the notice (usually the Company Secretary or Manager).
2. Preparation of Agenda
What is an Agenda?
The Latin word ‘Agenda’ literally means “Things to be done.”
An Agenda is an ordered, numbered list of the specific business topics/items to be discussed and transacted at a meeting. It is usually attached right below the Notice (or sent along with it).
Why is Preparing an Agenda Important?
- Helps Members Prepare in Advance: Members can study figures and think of suggestions before coming to the meeting.
- Keeps the Meeting Focused (Saves Time): Prevents members from wandering off into irrelevant gossip.
- Guides the Chairperson: Gives the Chairperson a step-by-step roadmap to conduct the meeting in order.
- Makes Writing Minutes Easy: After the meeting, each agenda item simply becomes a corresponding minute item!
Standard Sequence of Items in an Agenda:
- Item 1: To confirm and sign the Minutes of the previous meeting.
- Item 2: Matters arising out of the previous minutes (Action Taken Report).
- Items 3, 4, 5: Main Business Items of the current meeting (in order of importance).
- Second-Last Item: “Any other matter with the permission of the Chair.”
- Last Item: Vote of thanks to the Chair.

4. Preparation of Minutes of a Meeting
What are Minutes?
Minutes are the official, concise, and accurate written record of the proceedings, discussions, and decisions (resolutions) actually taken at a meeting.
- While an Agenda looks forward (“What we will discuss”, written in future/infinitive tense), Minutes look backward (“What we decided”, always written in the Past Tense)!
Two Types of Minutes:
- Minutes of Narration: Gives a brief summary of the discussion that took place along with the final decision reached.
- Minutes of Resolution: Records ONLY the exact final decision passed (starting with the words “RESOLVED THAT…”), without recording who argued what.
